Job Summary: Paralegal Manager – Office of the Corporate Secretary

This position will help lead the transformational team working to achieve the department’s strategic goals to serve our dynamic global company.

This position currently reports to: Vice President, Governance Counsel & Assistant Secretary for the Office of the Corporate Secretary.

Responsibilities:

  • Supervise and manage all aspects of entity maintenance, including preparation of internal documentation and state and local filings relating to new entity formations and qualifications, dissolutions, name changes, conversions, mergers and DBAs
  • Manage a team of paralegals and coordinators, with responsibilities including: mentorship, training and development of team members; evaluation, prioritization and supervision of work; monitoring of productivity, efficiency and quality; and providing informal and formal performance feedback
  • Assist governance and securities counsel with oversight and administration of departmental operations relating to entity maintenance, subsidiary governance and records management
  • Support and maintain best practices, standard operating procedures and efficiency goals through continuous improvement of processes and technology automation
  • Assist securities and governance counsel with management of third party vendor and service provider relationships, including registered agents, outside counsel and technology vendors
  • Assist with all aspects of departmental budgeting, forecasting and organizational planning
  • Coordinate with governance and securities counsel on the development, implementation and management of subsidiary governance guidelines, policies and procedures
  • Develop and administer departmental trainings and presentations
  • Additional projects and responsibilities as assigned

Basic Qualifications:

  • Subject matter expertise with a minimum of 10 years subsidiary governance and entity maintenance experience
  • Ability to effectively lead a team, which includes the need to exercise discretion and independent judgment, evaluate employee skillsets, provide managerial and technical supervision and escalate issues when necessary
  • Deep knowledge of Delaware and California corporations law and Secretary of State processes, procedures and standards  
  • Excellent critical thinking, analytical, and creative problem-solving skills
  • Sharp written and verbal communication skills
  • Detail-oriented self-starter with exceptional organizational, prioritization and time management skills and the ability to execute against competing priorities
  • Commitment to excellence, honesty, integrity, and professionalism
  •  “EQ” skills to build bridges, forge alliances and encourage people to want to work with you to foster a collaborative team environment and cross-functional collaboration
  • A Bachelor’s Degree and/or qualifications to be a paralegal by certification or education and work experience as set forth by the American Bar Association and any applicable state codes

It would be great if you also had these skills/experiences:

  • Experience working in a large national law firm or in-house at a large public company
  • Legal operations training or experience, including budgeting and forecasting, legal billing and/or project management experience

The hiring range for this position in Burbank, CA is $123,000.00 to $165,000.00 per year. The base pay actually offered will take into account internal equity and also may vary depending on the candidate’s geographic region, job-related knowledge, skills, and experience among other factors. A bonus and/or long-term incentive units may be provided as part of the compensation package, in addition to the full range of medical, financial, and/or other benefits, dependent on the level and position offered.
