Paralegal – Securities and Corporate Governance

Job Summary:

At Disney our Paralegals are highly-respected because their skills are quite simply, essential. You’d be a key member of a fast-paced team that supports The Walt Disney Company Board of Directors, supports the Company’s SEC filings and has oversight of the Company’s vast international corporate subsidiary structure. This position will be part of the transformational team that will help achieve the department’s strategic goals to serve our dynamic international company.

This position currently reports to the Associate General Counsel.


  • Assist with preparation of board and committee materials.
  • Maintain insider trading compliance program participant list.
  • Assist with drafting minutes, resolutions, consents, governing documents and certificates.
  • Assist with SEC filings, including proxy, registration statements and Section 16 filings.
  • Assist with preparing and maintaining governance-related policies and procedures.
  • Assist with maintenance of corporate calendar.

Basic Qualifications:

  • 3+ years paralegal experience
  • In-house and/or law firm corporate transactional, governance or finance experience
  • Strong written and verbal communication skills
  • Public company corporate governance and board, including assisting with preparation of board materials and agendas
  • Corporate drafting, including resolutions, consents, minutes, certificates, charters, bylaws
  • Electronic board portals (Boardvantage, Diligent or similar)
  • Electronic document filing and maintenance
  • Assisting with SEC filing preparation
  • Development and implementation of corporate procedures and policies
  • Strong written and verbal communication skills
  • Demonstrated ability to own and solve problems
  • Team-oriented and collaborative approach
  • Ability to multi-task and prioritize deadlines/deliverables
  • Strong work ethic
  • High social IQ to build bridges, forge alliances and encourage people to want to work with you to foster cross-department collaboration
  • Able to work independently with minimal oversight
  • A calm head and steady hand to deal with the unexpected
  • Complete reliability handling confidential, often highly sensitive information
  • Some flexibility in your schedule – we value work/life balance, but in a pinch, a bit more time is needed
  • Very strong organizational skills and extreme attention to detail
  • A highly professional demeanor, positive outlook and a can-do attitude

Preferred Qualifications:

  • Experience working in house at a Fortune 100 company or at a large national law firm
  • Knowledge of California and Delaware corporate law
  • Experience with budgeting and legal billing, and matter management software (Legal Tracker)
  • Experience working with entity management systems (CSC, Diligent Entities, GEMS or similar)
  • Experience working with document management systems

Required Education

  • Bachelor’s degree and/or qualification to be a paralegal by certification or education and work experience as set forth by the American Bar Association and any applicable state codes.
