At Disney our Paralegals are highly-respected because their skills are quite simply, essential.  You’d be a key member of a fast-paced team that supports The Walt Disney Company Board of Directors, supports the Company’s SEC filings and has oversight of the Company’s vast international corporate subsidiary structure. This position will be part of the transformational team that will help achieve the department’s strategic goals to serve our dynamic international company.

This position currently reports to: Assistant General Counsel

Needed Skills/Experience

  • Assisting with SEC filing preparation
  • Corporate drafting, including resolutions, consents, minutes, certificates, charters, bylaws
  • Electronic document filing and maintenance
  • Development and implementation of corporate procedures and policies
  • Familiarity with full suite of Excel and other presentation software

Duties

  • Maintain insider trading compliance program participant list
  • Assist with SEC filings, including 10-Ks, 10-Qs, 8-Ks, registration statements and Section 16 filings
  • Assist with preparing and maintaining templates and other form files
  • Assist with preparing and maintaining corporate policies and procedures
  • Assist with maintenance of corporate calendars
  • Assist with preparation of board and committee materials
  • Assist with drafting minutes, resolutions, consents, governing documents and certificates

Here’s what you will need to be successful in this role:

  • 3+ years paralegal experience
  • In-house and/or law firm corporate transactional, governance or finance experience
  • Strong written and verbal communication skills
  • Demonstrated ability to own and solve problems
  • Team-oriented and collaborative approach
  • Ability to multi-task and prioritize deadlines/deliverables
  • Strong work ethic
  • High social IQ to build bridges, forge alliances and encourage people to want to work with you to foster cross-department collaboration
  • Able to work independently with minimal oversight
  • A calm head and steady hand to deal with the unexpected
  • Complete reliability handling confidential, often highly sensitive information
  • Some flexibility in your schedule – we value work/life balance, but in a pinch, a bit more time is needed
  • Very strong organizational skills and extreme attention to detail
  • A highly professional demeanor, positive outlook and a can-do attitude.

It would be great if you also had these skills/experiences:

  • Experience working in a large national law firm or in house at a Fortune 100 company
  • Knowledge of California and Delaware corporate law
  • Experience with budgeting and legal billing, and matter management software (Legal Tracker)
  • Experience working with entity management systems (CSC, Diligent Entities, GEMS or similar)
  • Electronic board portals (Boardvantage, Diligent or similar)
  • Public company corporate governance and board, including assisting with preparation of board materials and agendas
  • Experience working with document management systems

Location:  Burbank, CA

The hiring range for this position in Burbank, CA is $69,946 to $93,830 per year based on a 40-hour work week. The amount of hours scheduled per week may vary based on business needs. The base pay actually offered will take into account internal equity and also may vary depending on the candidate’s geographic region, job-related knowledge, skills, and experience among other factors.  A bonus and/or long-term incentive units may be provided as part of the compensation package, in addition to the full range of medical, financial, and/or other benefits, dependent on the level and position offered.
