Department/Group Description:

The Corporate Legal – Privacy Team is a part of The Walt Disney Company’s (“TWDC”) world class Legal Department.   The Privacy Team provides privacy and data security legal advice to TWDC’s businesses around the globe in all varieties of cutting edge contexts, including new and advanced technologies, advertising and marketing, content distribution, cybersecurity and incident response, personnel and vendor management, and product development, operation, and distribution.  The team’s mission is to ensure that TWDC’s privacy policies comply with all relevant legal and regulatory requirements and meet the expectations of TWDC’s consumers, employees, and partners, while supporting our businesses in delivering the entertainment, information, inspiration, and magic that is Disney.

Job Summary and Purpose:

The Principal Counsel will provide privacy and data security legal advice to the global TWDC enterprise, with a focus on cybersecurity and incident response, as well as employee privacy matters. The Principal Counsel will negotiate the data privacy aspects of enterprise technology and other data sharing agreements, with an emphasis on data transfer requirements.  The Principal Counsel will also advise clients regarding the privacy and security of personal information in connection with the processing of consumer payment transactions, as well as the negotiation of consumer payment-related agreements.  The Principal Counsel will need a strong knowledge of global privacy and data security laws, rules and regulations, and self-regulatory guidelines, including comprehensive and sectoral privacy laws in the US (both state and federal) and in other jurisdictions.

Job Responsibilities and Duties:

  • Advise on cybersecurity incident response and related legal requirements.

  • Advise, draft, and negotiate privacy and data security terms in contract negotiations with internal and external service providers and vendors. 

  • Advise regarding the privacy and data security issues associated with the TWDC consumer payments program and with related contract negotiation.

  • Manage and review privacy and transfer impact assessments and provide related privacy advice.

  • Work directly with business and legal colleagues throughout TWDC, both domestically and globally.

Basic Qualifications:

  • JD degree and a minimum of ten (10) years’ experience in government, or in a law firm and/or corporate legal department, advising on a wide range of privacy and data security issues.

  • Ability to analyze new and emerging technologies/practices/products, anticipate potential privacy and data security issues that could be implicated, and counsel clients effectively consistent with or in the absence of directly applicable laws, rules, regulations, or standards. 

  • Experience negotiating and drafting both consumer payments-specific agreements and contracts generally, and providing compliance-related guidance.

  • Strong drafting, negotiating and writing skills, including attention to detail, as well as the ability to solve problems in an efficient, business-friendly manner in time-pressured situations.

  • Ability to identify and analyze complex issues and devise creative solutions and strategies for resolution.

  • Ability to anticipate and understand the implications of agreements, contractual provisions, and related decisions, and also to generally assess potential risks and impacts.

  • Excellent written and verbal communication skills.

  • Excellent work ethic and commitment to professionalism; excellent attention to detail.

  • Strong interpersonal skills and ability to collaborate effectively and inclusively with all levels of co-workers and clients.

  • Willingness to take “ownership” of projects and think proactively.

  • Ability to adapt to change and handle a high volume of work, and work independently with minimal supervision.

  • Superior organizational skills with the ability to multi-task, and prioritize workload efficiently and effectively.

Preferred Qualifications:

  • Experience providing privacy and data security guidance in the context of a global privacy compliance backdrop, particularly as pertains to advising on compliance with CCPA/CPRA, GDPR, GLBA, PCI-DSS, payment network rules, and other applicable domestic and foreign privacy laws, regulations and rules. 

  • Familiarity with emerging privacy legal issues, such as those involving biometrics, AI/ML and related issues.

  • Experience providing privacy and data security guidance in connection with the development and operation of HR onboarding, workplace productivity, employee wellness, collaboration, and other employee-focused programs and initiatives.

  • Experience providing legal services to international teams.

Required Education:

  • Law degree from an accredited law school.

  • Membership in the California or New York Bar or willingness and qualification to be Registered In-House Counsel.
